This is a legal agreement between you (which is you personally if you are acting on your own behalf, or the company for which you are an authorized representative) and AMichel.com, the author of AutoAT Suite (the software) which includes AutoAT, AutoATLibX and AutoATLib which are application and components for access to and automated trading with Ameritrade and/or Freetrade accounts.

AMICHEL.COM IS WILLING TO LICENSE THE SOFTWARE TO YOU ONLY ON THE CONDITION THAT YOU ACCEPT ALL THE TERMS CONTAINED IN THIS LICENSE AGREEMENT. PLEASE READ CAREFULLY. BY INSTALLING AND MAKING PRODUCTIVE USE OF THE ENCLOSED SOFTWARE OR BY REGISTERING THE SOFTWARE WITH AMICHEL.COM, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, AMICHEL.COM IS UNWILLING TO LICENSE THE SOFTWARE TO YOU, AND YOU SHOULD PROMPTLY DELETE OR RETURN ALL THE ITEMS RELATING TO THIS SOFTWARE.

1.License. AMichel.com grants you the non exclusive right to use this AMichel.com product (consisting of software and accompanying documentation) on the following terms. AMichel.com (or his licenser, in the case of any incorporated third party software) retains ownership of the software and documentation and all rights not specifically given to you in this license.

2. Copying. You may not copy any parts of the software except to make backup copies. You must include AMichel.com copyright notice on any backup copy you make. No part of the accompanying documentation may be copied for any reason.

3.Restrictions on Use. Unless you have purchased additional rights, you have a single-user license. With a single-user license, the original and any backup copy can be used only by one person. You may transfer the software from one computer to another, but the software can only be used by one person at a time. You may not modify adapt, translate, reverse engineer, decompile. dissemble or create derivative works based on the software or the accompanying documentation. NEITHER AMichel.com NOR HIS SUPPLIERS MAKE ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE USE OF OR INABILITY TO USE THE PROGRAM, DOCUMENTATION OR MEDIA. 

AMICHEL.COM PROVIDES THE SOFTWARE "AS-IS" AND PROVIDED WITH ALL FAULTS. NEITHER AMICHEL.COM NOR ANY OF ITS SUPPLIERS OR RESELLERS MAKES ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. AMICHEL.COM AND ITS SUPPLIERS SPECIFICALLY DISCLAIM THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SYSTEM INTEGRATION, AND DATA ACCURACY. THERE IS NO WARRANTY OR GUARANTEE THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR VIRUS-FREE, OR THAT THE SOFTWARE WILL MEET ANY PARTICULAR CRITERIA OF PERFORMANCE, QUALITY, ACCURACY, PURPOSE, OR NEED. AMERITRADE MAY DECIDE TO CHANGE THESE PROTOCOLS AT ANY TIME WITH OR WITHOUT NOTICE. AMICHEL.COM WILL MAKE ANY REASONABLE EFFORT TO KEEP THE SOFTWARE UP TO DATE IN RESPECT TO THESE CHANGES, BUT DOES NOT GUARANTEE THE TIMELINESS OF THESE UPDATES, OR THAT IT WILL EVEN BE POSSIBLE TO INCORPORATE SOME OR ALL OF THESE CHANGES. AMICHEL.COM DOES NOT MAKE ANY GUARANTEE THAT THIS SOFTWARE COMPLIES OR WILL CONTINUE TO COMPLY WITH THE AMERITRADE TERMS OF SERVICE OR ANY OTHER AGREEMENTS BETWEEN AMERITRADE AND YOU. YOU ARE SOLELY AND FULLY RESPONSIBLE FOR COMPLYING WITH THE AMERITRADE TERMS OF SERVICE AND ANY OTHER AGREEMENTS BETWEEN AMERITRADE AND YOU. 

AMICHEL.COM DOES NOT MAKE ANY GUARANTEE THAT THIS SOFTWARE WILL SUBMIT ORDERS ACCURATELY OR AT ALL, TO YOUR AMERITRADE ACCOUNT, OR THAT WILL RECEIVE ACCURATE ACCOUNT, PORTFOLIO OR ORDER INFORMATION, OR AT ALL, FROM YOUR AMERITRADE ACCOUNT. YOU ASSUME THE ENTIRE RISK OF ANY CONSEQUENCES INCLUDING FINANCIAL LOSSES RESULTING FROM SUCH EVENTS.

5.Limitation Of Liability. Neither AMichel.com nor anyone else who has been involved in the creation, production or delivery, of this software or its accompanying documentation shall be liable for any direct, indirect, incidental, special, exemplary or consequential damages whatsoever, including but not limited to any loss of actual or anticipated profits or benefits, resulting from the use of the software or its documentation.

6.Termination. You may terminate this agreement by returning all your copies of the software and documentation to AMichel.com. This license terminates automatically and without notice to you if you fail to comply with any provisions of this agreement. You agree to return all copies of the software and documentation to AMichel.com upon termination.

7.Complete Agreement. You acknowledge that you have read this license agreement and that it is complete and exclusive agreement between you and AMichel.com regarding the software and its documentation. This License shall be governed by and construed in accordance with the laws of the State of California, United States of America, as if performed wholly within the state and without giving effect to the principles of conflict of law. If any portion hereof is found to be void or unenforceable, the remaining provisions of this License shall remain in full force and effect. This License constitutes the entire License between the parties with respect to the use of the Software

8.General Provisions.
AMichel.com reserves all rights not expressly granted herein. AMichel.com may modify this Agreement at any time by providing such revised Agreement to you or posting the revised Agreement on his website presently located at http://www.amichel.com. Your continued use of the AutoAT Suite Software shall constitute your acceptance of such revised Agreement. Nothing in this Agreement shall constitute a partnership or joint venture between you and AMichel.com. Should any term or provision hereof be deemed invalid, void or unenforceable either in its entirety or in a particular application, the remainder of this Agreement shall nonetheless remain in full force and effect.

YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND UNDERSTAND THE RIGHTS, OBLIGATIONS, TERMS AND CONDITIONS SET FORTH HEREIN. BY CONTINUING TO INSTALL THE AUTOAT SUITE SOFTWARE, YOU EXPRESSLY CONSENT TO BE BOUND BY ITS TERMS AND CONDITIONS AND GRANT TO AMichel.com THE RIGHTS SET FORTH HEREIN.
